Bylaws of the New ChasCom Fund

Article I

1. The name of the organization is The New Chascom Fund.

2. The organization shall be organized as a non-profit corporation under the laws of the State of South Carolina, and shall seek and maintain status as a tax-exempt organization under the Internal Revenue Code.

3. The purpose of the organization is to solicit and collect funds to support and sustain orthodox Jewish religious observance in the area of the Jewish Community Center, currently located on Wallenberg Boulevard in Charleston, SC.

Article II – Governance

1. The Board of Directors is the governing body of the organization and shall exercise all powers and authority granted to the Corporation by law.

2. The term of office for a director / board member shall be two years, commencing at 12:01 AM on January 1 and ending at 12 midnight on December 31 of the succeeding year.

3. The board shall meet no less than once per quarter in each year. The time and place shall be determined by the board, and shall always take place in Charleston County, SC, unless approved by a two-thirds vote of the directors.

4. Quorum: A quorum shall consist of a majority of the Board attending either in person or by teleconferencing (telephone and/or video).

5. Members of the board may participate in a meeting through use of conference telephone, video conference or other similar communications tool that allows for all participants to hear one another.

6. Committees: The Board may establish such committees as deemed necessary for the performance of its duties. The President, with the approval of the board, shall appoint the chair and members of any such committees.

7. Compensation: the members of the Board shall not receive any compensation for their duties. Board members may be reimbursed for any direct expense upon submission of receipts and a statement, and the approval of the Board.

8. Conflict of Interest: A board member with any personal or familial financial interests in a decision or matter before the board shall declare this conflict to the Board, and recuse themselves from any vote pertaining to this.

9. Resignation: A board member may resign by submitting a letter to the Board.

10. A board member may be removed for failure to attend meetings, failure to abide by the bylaws (such as a conflict of interest). Removal of a board member requires a two-thirds majority vote of the remaining members of the board.

11. No board member may serve more than three consecutive two year terms, or six years, whichever comes first. After reaching this limit, a director may not serve as a board member for a period of two years, whether appointed or elected.

Article III - Initial board

1. Upon organization, the board shall consist of three members who are the three organizers of the Corporation. These positions shall be designated as the "initial board". The terms shall end on December 31, 2010.

2. Two additional board positions shall be created for a term to begin on January 1, 2010. The term of office will be two years. The board shall, by majority vote, appoint the people for these positions from among prospective members as provided for in Article VI.

3. Beginning on January 1, 2010 and continuing forward, the board shall consist of five members.

4. In December 2010, at a time and place to be designated, the three initial board positions shall be filled by persons to be elected by members of the Corporation. The initial board members may be nominated for these positions. The three board members elected at this time shall assume office on January 1, 2011. The term of office shall be two years.

5. Subsequently, the election of the board shall follow the provisions of Article IV.

Article IV - Election of Board

1. Any member of the corporation in good standing may become a candidate for a board position upon a nomination by three members in good standing. Such nomination may be made in writing in advance of the membership meeting or from the floor during the meeting.

2. The election of directors shall take place in the last quarter of the calendar year at a place and time to be specified by a majority vote of the board of directors. The location shall be within Charleston County, SC.

3. A notice of the time and place of the election shall be delivered to all members of the corporation by US Post Office mail or electronic mail, as directed by the membership.

4. The term of office for the board will commence on the first day of January immediately after the election. Term of office will run from 12:01AM on January 1 and end at 12midnight on December 31 two years hence.

5. Vacancy: In the event of a vacancy, the remaining members of the board shall, by majority vote, appoint a person from the membership to complete the term of office. The new director will only complete the remainder of the term. If the position vacated was an officer of the board, the appointment of the new officer shall be by majority vote of the full board, and will only complete the remainder of the current year.

Article V - Officers

1. The officers of the Corporation shall be appointed from among the members of the Board, concurrent with their terms as directors.

2. The officers of the Corporation shall consist of a President, Secretary and Treasurer. One person may hold any two offices EXCEPT that the President and Treasurer shall not be the same person.

3. The term for an officer shall be for a period of one year.

4. The officers will be elected by a majority vote of the Board that will hold office in the subsequent year. Such meeting of the incoming board shall be held in December of the year preceding the new term. (The outgoing President and officers will preside at this meeting, and may appoint an alternate to preside if he / she / they be nominated to be officers in the new term.)

5. The President shall preside over the meetings of the Board. In the absence of the President, the President shall designate one of the two remaining officers to preside.

6. The Secretary shall be responsible for keeping records of Board actions, including minutes of all board meetings, correspondence, and all corporate records.

7. The Treasurer shall be responsible for maintaining the financial records of the corporation. The Treasurer shall receive invoices and shall prepare all checks and payments for the corporation.

The Treasurer shall make a report at each quarterly meeting of the Board, to include a statement of all funds received and all payments made, the monthly reconciliation of all bank statements, and other such records as the Board may direct.

8. A quorum for the board to take action will be three members.

Article VI - Members

1. For the first two years of operation of the corporation, through December 31, 2009, the members of the Corporation shall only consist of the members of the Board.

2. Commencing on September 1, 2009, any Jewish person aged 18 and over who wishes to become a member of the Corporation may submit an application. Such application will be on a form as specified by the Board, and shall include any initiation fee and annual dues as determined by the board. All such fees shall be reasonable, and shall be submitted to the location specified by the Board. The Board may, at its sole discretion, allow for online submission of such applications.

3. All applications shall be signed or endorsed by at least two members of the Board.

4. Criteria: Any member of the Corporation shall live in the Charleston, SC area, be of good character, be Jewish, and a regular attendee of orthodox Jewish religious services at the location designated in Article I, part 3 (currently the West Ashley Minyan).

5. All applications shall be considered by the Board and approved by majority vote.

6. Any application that is disapproved may have the right to be reconsidered by the Board.

7. The board may provide for Associate Membership. Associate Members are those interested in supporting the goals and mission of the Corporation. Associate Members will not have a vote, nor may they serve on the Board of Directors.

8. Termination: A member may be expelled by a majority vote of the board after an appropriate hearing of any member who shall be in default.

Article VII - Indemnification

Each member of the Board of Directors, officers and employees of the Corporation shall be indemnified against all expenses and liabilities, including counsel fees reasonably incurred or imposed upon such members of the board, officer or employee in connection with any threatened, pending or completed action, suit or proceeding in which such person may become involved by reason of their being or having been a member of the Board, officer or employee. The exception to this indemnification is that the individual shall be adjudged to be liable for gross negligence or misconduct. The Board must approve any settlement for the indemnification to apply. This indemnification is in addition to and not exclusive of any other rights which such member of the Board, officer or employee is entitled.

Article VIII - Committees

The Board may, from time to time, establish one or more advisory boards or committees to further the mission and operations of the Corporation. The size, duration and responsibilities of such advisory boards or committees shall be established by the Board.

Article IX - Procedure

1. Unless otherwise provided for by law or these bylaws, or by such rules as the Board shall establish, the Board shall operate according to the latest available edition of Roberts Rules of Order.

2. Unless otherwise provided for in these Bylaws, all actions of the board will require three members to be present.

Article X

1. The fiscal year of the Corporation shall conform to the calendar year.

2. The board shall enact policies and procedures for the handling of monies and other assets of the corporation.

3. All funds shall be deposited in one or more accounts of a duly licensed bank, licensed brokerage firm or other such licensed depository as the Board shall determine and appoint. No such account may be opened without a vote of the Board at a meeting.

4. The Board shall oversee the books and records of the corporation, and shall review statements on a routine basis, but no less than quarterly.

Article XI - Amendments

1. These Bylaws may be amended by a two-thirds majority vote of the Board.

2. An amendment to these Bylaws may be proposed by any member of the board at least 30 days prior to a meeting whereupon a vote may be taken to amend the Bylaws.

3. Upon unanimous consent of the Board, the notice provision above may be waived.

Article XII – Notices

When these bylaws require that a notice be made to the regular members, or members of the board, such notice shall be made by either electronic mail or US Postal Service. Each individual shall, upon initial application, designate the method of delivery for notices. It is the responsibility of the individual to inform the secretary in writing (written or electronic, and confirmed by the recipient) of any change to the current email and/or mail address that is to be used for these purposes.

Article XIII - Dissolution

1. At such time as the mission of the Corporation is reasonably being met by another organization, the Corporation may close and dissolve.

2. A motion to dissolve must be made by at least three members in good standing of the corporation.

3. A special meeting may be called of the membership with at least 15 days written or electronic (email) notice to all voting members, at a time and place designated by the Board. Such meeting may only occur in Charleston County, SC, and shall be scheduled to maximize attendance by the members.

4. A "super-majority" vote of two-thirds of the members present and voting is necessary to dissolve the corporation.

5. The board will act expeditiously to complete the legal procedures for dissolution.

Pesach Message 2011

 

 

Dear friends,

 

This is just a short note to wish you all Chag Sameach for Pesach.  May you enjoy meaningful seders with friends and family, as we all celebrate the festival of freedom.  Within a few weeks, the nation and the community will also observe the Days of Remembrance of the Holocaust, as designated this year by the US Congress for May 1 though 8, 2011.

 

There are two important dates to keep open in Charleston.  The first is for Yom HaShoah, to be observed with the memorial gathering and march in downtown Charleston on Sunday May 1st, 2011.  The second is the evening of Tuesday, May 3rd, when Dora Love will be speaking at the JCC.  You may already have seen notices for these events in community emails and the Voice.  I want to share a bit more about Dora Love, and to encourage you all to attend both of these very important events.

 

 

      

 

Dora Love is a retired teacher, who now lives in Colchester in the UK.  Her family and ours have been friends from the time she and her late husband, Frank, moved to South Africa a few years after World War II.  Dora will be in the Charleston area with my mother, Eva Spangenthal, to attend Dora's grandson's wedding.  Dora is a survivor of the Holocaust, and specifically of the Stutthoff concentration camp.  Her story includes the unspeakable horrors of forced evacuations, imprisonment in a ghetto and later at Stutthoff, the loss of loved ones, slave labor and being shipped in boats eastward across the Baltic Sea without food or water, as the Russian armies closed in on the Nazis in the final days of the war.

 

After liberation and her recovery from starvation and TB, Dora became a translator for the British, assisting them with war-crime investigations, and she later worked for the UN Relief and Rehabilitation Administration and then the American Joint Distribution Committee.  Of all the remarkable things Dora did in this period, she feels most proud of her work rescuing Jewish children who had survived the war, many of whom had been in hiding with gentile families.  She assisted tracing these children and housing them in a home in Blankenese, near Hamburg, in Germany.  The home was opened in early 1946 and was staffed by soldiers of the Jewish Brigades and people assigned by the AJDC, which also provided the children food, medication and books.  Nearly 200 children passed through this home, on their way to being resettled and reunited with family, wherever they could be found.

 

Dora's mission to this day is to bear witness to her experiences, for the betterment of people from all communities and walks of life.  She has worked closely in recent years with the history department at the University of Colchester, where she helped establish a program for History Majors, all of whom must take at least two courses in Holocaust Studies. In recognition for her courageous efforts, her advocacy and example, Dora was honored with an honorary doctorate from the University of Essex in 2009.

 

As you may know, in January this year, I began serving on the board of the Jewish Community Alliance of Charleston, which jointly serves the JCC and the Charleston Jewish Federation.  From this brief time on the board, I am happy to report that there are many dedicated individuals working hard to make a difference in our community.  These two events are excellent examples of the fruits of their efforts.  Please make every effort to stand with us on May 1st, and come and meet Dora Love, and hear her speak on May 3rd.
